1. Acceptance

By downloading, installing, or using Siyan Reflect ("the App"), you agree to these Terms of Use ("Terms") and to our Privacy Policy. If you do not agree, do not use the App.

2. The Service

Siyan Reflect is a consumer wellness application. It offers:

• Guided breathing exercises;
• Real-time heart rate visualization via Apple Watch;
• Stress-pattern visualization and readiness signals derived from HRV, RHR, and sleep data;
• The Reflect Guru AI conversational wellness companion;
• Session summaries and trends across time;
• An optional paid subscription ("Siyan Reflect Pro") that unlocks additional features such as advanced Trends & Analytics.

3. Not Medical Advice

The App is offered for general wellness, self-reflection, and relaxation only. The App is not a medical device. The App does not diagnose, treat, cure, prevent, or monitor any disease or condition. The Reflect Guru companion is an AI tool and is not a therapist, counselor, physician, or crisis service. Always consult a qualified healthcare professional for medical or mental-health concerns. If you are in danger or experiencing a crisis, call your local emergency number or a crisis line. Do not use the App in place of emergency services.

4. Eligibility

• You must be at least 17 years of age to use the App.
• You must have a compatible iPhone and, for biometric features, a compatible Apple Watch.
• You must grant Apple HealthKit permissions to use features that depend on biometric data.
• You agree to provide accurate information when creating an account.

5. User Responsibilities

• Use the App responsibly and consistently with these Terms.
• Do not rely on the App for medical decisions, diagnosis, or treatment.
• Wear your Apple Watch properly so sensor data is reasonably accurate.
• Do not attempt to interfere with, reverse engineer, or compromise the App or its security.
• Do not use the App to harass, threaten, or harm others.

6. Subscriptions, Renewals, and Cancellation

Siyan Reflect Pro is sold as an auto-renewing subscription through the Apple App Store. Pricing is shown at the point of purchase. Payment is charged to your Apple ID. Subscriptions automatically renew at the end of each period unless cancelled at least 24 hours before the period ends. You can manage or cancel subscriptions in your Apple ID account settings. Refunds are handled by Apple in accordance with Apple's policies.

7. Accuracy and Availability

Biometric values shown in the App depend on Apple Watch sensors, iOS, network conditions, and your wear of the device. We do not guarantee the accuracy, completeness, or continuous availability of biometric readings, stress-pattern outputs, or AI responses. The App is provided on an "as is" and "as available" basis.

8. Intellectual Property

All content, design, software code, trademarks, and other materials in the App are the property of Siyan Clinical Corporation or its licensors. You receive a limited, personal, non-transferable, non-exclusive license to use the App for its intended wellness purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the App or its components except as permitted by applicable law.

9. AI-Generated Content

Reflect Guru produces responses using artificial intelligence. AI responses may be incomplete, inaccurate, or inappropriate for your situation. You are responsible for evaluating any information or suggestions you receive from the App before acting on them. Do not rely on AI responses for medical, legal, financial, or other professional decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Siyan Clinical Corporation and its affiliates, officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the App. Our total aggregate liability for any direct damages arising out of or related to the App shall not exceed the amount you paid us for the App in the twelve (12) months preceding the event giving rise to the claim, or USD 50, whichever is greater. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions our liability is limited to the smallest extent permitted by law.

11. Termination

You may stop using the App at any time and may delete your account in Settings → Account → Delete Account. We may suspend or terminate your access if you breach these Terms, misuse the App, or if continued provision is no longer commercially reasonable. Sections that by their nature should survive termination (including Sections 3, 8, 10, 12, and 13) will survive.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated in the App. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the App will be brought exclusively in the state or federal courts located in Sonoma County, California, except where prohibited by applicable consumer-protection law.

14. Apple End User License Terms

You acknowledge that these Terms are between you and Siyan Clinical Corporation, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
